Tabella Rewards Program Terms & Conditions

("Tabella," "we," "us," or "our"). By activating the Program within the Tabella application, you agree to be bound by these Rewards Terms, the Tabella Terms of Service, and the Tabella Privacy Policy, each of which are incorporated herein by reference. To the extent there is any conflict between these Rewards Terms and the Tabella Terms of Service, these Rewards Terms shall govern with respect to the Program.

We reserve the right to modify, suspend, or terminate the Program or these Rewards Terms at any time, with or without prior notice. Your continued participation in the Program following any changes constitutes your acceptance of the updated Rewards Terms.

The Tabella Rewards Program is a loyalty-based incentive program designed to recognize community administrators ("Admins") for growing active, engaged communities on the Tabella platform. Participants accumulate Reward Credits ("Credits") through qualifying platform activity. Credits are expressed in U.S. dollar-equivalent units for display purposes only and may be redeemed for eligible goods, services, or gift cards as described herein. Credits are not money, are not legal tender, and cannot be redeemed for cash under any circumstances.

The Program is currently available exclusively in the United States as a beta offering. Availability, features, Credit rates, and redemption options are subject to change as the Program evolves. Tabella makes no guarantee that the Program will continue beyond its beta period or will be made available in additional regions.

To participate in the Program, you must:

(a) be a resident of the United States of America; (b) be at least 18 years of age at the time of enrollment; (c) have a valid, active Tabella account in good standing; (d) be the designated Admin of at least one active Tabella community; (e) have a valid United States mailing address and, where required, a valid U.S. Social Security Number or Individual Taxpayer Identification Number for tax reporting purposes; and (f) comply fully with these Rewards Terms, the Tabella Terms of Service, and the Tabella Community Guidelines at all times.

The following individuals are not eligible for the Program:

(a) employees, contractors, or agents of Tabella or its affiliates; (b) individuals who have had their Tabella account suspended or terminated for any reason; (c) individuals residing outside the United States; and (d) individuals under the age of 18.

Each individual may only participate in the Program through a single Tabella account. Participation through multiple accounts or under multiple identities is strictly prohibited and may result in permanent disqualification.

Reward Credits are accrued in your balance through the following qualifying activities:

(a) Post Reach: Credits are earned based on the organic reach of posts published within your community — meaning the number of unique individuals who view your posts through the Tabella platform. Reach generated through fraudulent means, automation, bots, or artificial inflation does not qualify and may result in disqualification from the Program.

(b) Completed Goals: Credits are also earned upon completing designated Program milestones, which may include initial community setup goals, publishing a minimum number of posts within a defined period, successfully inviting followers to join your community, and other goals as introduced by Tabella from time to time.

Credit balances and accruals are associated with the community, not with any specific individual administrator. In the event of a change in community ownership or admin status, the applicable Credit balance remains tied to the community and shall not be transferred to a departing admin's personal account. Tabella reserves sole discretion in resolving disputes arising from changes in community administration.

The Credit rate per post view and per completed goal is determined solely by Tabella and may be adjusted at any time without prior notice. Published Credit rates, if any, are provided for display and informational purposes only and are not guaranteed.

Participation in the Program does not guarantee any minimum accumulation of Credits. Credits depend entirely on community activity, content performance, and goal completion. Tabella makes no representations or warranties regarding the amount of Credits any participant may accrue.

Your Credit balance will be updated as qualifying activities are recorded by Tabella's systems. Balance updates may not be instantaneous and may be subject to a processing or verification delay.

While Tabella strives to ensure accuracy in Credit calculations, we reserve the right to correct any errors in your balance at any time, including upward or downward adjustments. In the event of a system error that results in inaccurate Credits, Tabella may reclaim the erroneously applied amount.

Reward Credits are a proprietary, non-monetary program benefit issued solely by Tabella. Credits:

(a) have no cash value and cannot be redeemed for cash, currency, or any monetary equivalent; (b) are not legal tender, currency, or a financial instrument of any kind; (c) are expressed in U.S. dollar-equivalent units solely for convenience and ease of understanding, and such display does not imply that Credits constitute money or a monetary claim against Tabella; (d) represent only a conditional right to request redemption for eligible goods, services, or gift cards, as described in Section 5; and (e) are owned and controlled by Tabella and may be adjusted, forfeited, or voided in accordance with these Rewards Terms.

Redemption requests may only be submitted once your Credit balance meets or exceeds a minimum threshold of $100.00 in Credit value. Balances below this threshold cannot be redeemed and will remain in your account.

Credits may be redeemed exclusively for eligible goods, services, or gift cards made available by Tabella at its sole discretion. During the current beta period, the available redemption option is an Amazon Gift Card, delivered to the email address associated with your Tabella account, in a denomination equivalent to your redeemed Credit value.

Tabella does not offer, and Credits cannot be redeemed for, cash, checks, bank transfers, wire transfers, cryptocurrency, or any other monetary payment. Tabella reserves the right to add, modify, or remove redemption options at any time. The issuance and use of Amazon Gift Cards is subject to Amazon's own terms and conditions. Tabella is not responsible for the acceptance, availability, delivery, or operation of any third-party redemption option.

To initiate a redemption, you must submit a request through the Tabella application. All redemption requests are subject to review and verification by Tabella prior to processing. Tabella reserves the right to delay, withhold, or deny any redemption request if it suspects fraudulent activity, policy violations, or system errors that require investigation.

Tabella will make reasonable efforts to process approved redemption requests in a timely manner. Processing times may vary and are not guaranteed.

Credits and Credit balances may not be sold, transferred, traded, gifted, or otherwise conveyed to another individual or entity.

During the beta period of the Program, accrued Credit balances will not expire. However, Tabella reserves the right to introduce an expiration policy upon the Program's general release. Any such change will be communicated with reasonable advance notice.

Participants are strictly prohibited from engaging in any activity intended to artificially inflate Credit balances or circumvent the Program's rules, including but not limited to:

(a) using bots, scripts, automated tools, or other artificial means to generate post reach or simulate goal completion; (b) coordinating with other users to generate inauthentic engagement; (c) creating multiple accounts to participate in the Program more than once; (d) misrepresenting community activity, size, or demographics; (e) engaging in any conduct that violates the Tabella Terms of Service or Community Guidelines in connection with Program participation; and (f) attempting to reverse-engineer, exploit, or manipulate Tabella's Credit calculation systems.

Tabella reserves the right to investigate suspected violations of these Rewards Terms. If Tabella determines, in its sole discretion, that a violation has occurred, it may:

(a) immediately disqualify the participant from the Program; (b) forfeit and void any accrued Credit balance; (c) deny any pending or future redemption requests; (d) suspend or terminate the participant's Tabella account; and (e) pursue any other remedies available at law or in equity.

Reward Credits are not wages, salary, or monetary compensation. However, the redemption of Credits for gift cards or other goods and services may have tax implications under applicable U.S. federal and state law. The Internal Revenue Service (IRS) generally treats gift cards received as compensation or income as equivalent to cash for tax reporting purposes. Participants are solely responsible for determining and fulfilling any tax obligations that may arise from their participation in the Program and the redemption of Credits.

If the fair market value of gift cards or other items redeemed by a participant during a calendar year meets or exceeds applicable IRS reporting thresholds, Tabella may issue a Form 1099-MISC or other applicable tax form. You may be required to provide Tabella with your Social Security Number or Individual Taxpayer Identification Number as a condition of redeeming Credits.

Tabella reserves the right to withhold any amounts required by law from redemption fulfillments. Failure to provide accurate tax information may result in withholding, suspension of redemption privileges, or termination from the Program.

The Program is offered on an "as-is" and "as-available" basis. Tabella makes no warranties, express or implied, regarding the Program's availability, continuity, Credit rates, or the value of Credits earned in the Program. Tabella may modify, suspend, or discontinue the Program at any time and for any reason without liability.

Tabella is not affiliated with, endorsed by, or in any way officially connected to Amazon.com, Inc. Amazon Gift Cards are subject to Amazon's applicable terms of service. Tabella is not responsible for any issues that arise with the delivery, activation, redemption, or use of Amazon Gift Cards.

BECAUSE CREDITS HAVE NO CASH VALUE AND ARE NOT MONEY, TABELLA'S TOTAL LIABILITY TO YOU IN CONNECTION WITH THE PROGRAM SHALL NOT EXCEED THE EQUIVALENT FACE VALUE OF UNREDEEMED CREDITS IN YOUR ACCOUNT AT THE TIME THE CLAIM AROSE, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. IN NO EVENT SHALL TABELLA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR PARTICIPATION IN THE PROGRAM OR THE REDEMPTION (OR NON-REDEMPTION) OF CREDITS.

The Program is currently in beta, which means it is in an early, experimental phase. Features, Credit rates, eligibility requirements, redemption thresholds, and other terms may change significantly as the Program develops. Beta participants acknowledge that the Program may be discontinued at any time and that participation does not create any vested rights or entitlements.

These Rewards Terms shall be governed by the laws of the State of California, USA, without regard to conflict of law principles. All disputes arising out of or related to the Program or these Rewards Terms shall be resolved in accordance with the Dispute Resolution provisions set forth in Section 7.6 of the Tabella Terms of Service, including the binding arbitration clause and class action waiver contained therein.

For the avoidance of doubt, the Program does not constitute a lottery, sweepstakes, contest, or any other game of chance. Credits are earned exclusively through verifiable platform activity — specifically, organic post reach and the completion of defined goals — and are not determined by random selection or chance.

These Rewards Terms, together with the Tabella Terms of Service and Privacy Policy, constitute the entire agreement between you and Tabella with respect to the Program and supersede all prior understandings or agreements related thereto.

If any provision of these Rewards Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Tabella's failure to enforce any right or provision of these Rewards Terms shall not constitute a waiver of such right or provision.
